NUMBER AND STRUCTURE OF BUSINESS ENTITIES, MARCH 2009

 

In the release  entitled the Number and Structure of Business Entities, which has been published quarterly and bilingually since 1999, the contents of data have been changed in such a way that data on registered legal entities from the Register of Business Entities of the Central Bureau of Statistics were supplemented with data from registers and administrative records of other state institutions, such as the Register of Tax Payers, the Fina’s Register of Annual Financial Reports, the Register of Active Insured Persons of the Pension Insurance, etc.

The comparison of the number of legal entities in the Register of the Central Bureau of Statistics and active legal entities in administrative registers shows that the share of legal entities is lower than a half (46.9%).

 

This difference is the smallest in trade companies, as entities of this kind are either harmonised with or newly created according to the Company Law. It should be noted, though, that about 23.1% of those entities are not active.

 

Enterprises and co-operatives are entities having the greatest absolute difference, which relates mostly to entities that failed to submit a request for harmonising with the Company Law. After this procedure has been finished, such entities will be deleted from the Register. The majority of active entities in this category (about 6 000) will be transferred to the category of trade companies, through the harmonisation procedure.

 

Within the category of institutions, bodies, associations and organisations, the difference between two kinds of data is not the consequence of their inactivity as in the two previous categories. The treatment of registration of entities of this kind in the Register of the Central Bureau of Statistics differs from registration procedures in other administrative registers. For example, in the Register of the Central Bureau of Statistics each body of local and regional self-government units is registered individually, while in administrative registers, what is taken into consideration are accounts through which entities run their business.

 

Data on the number of entities in crafts and trades and free lances relate to the number of self-employed entrepreneurs, with or without employees, as well as persons who are engaged in professional activity, according to the Pension Insurance records.

Data on the structure of business entities by economic activities show that more than three quarters of both registered and active entities belong to the following four activity sections: Wholesale and retail trade; repair of motor vehicles, motorcycles with 34.1% registered and 27.3% active entities; Manufacturing with 8.4% registered and 10.0% active entities; Professional, scientific and technical activities with 8.3% registered and 11.5% active entities, and Other service activities with 12.8% registered and 8.7% active entities.

 

The share of profit entities in the total active business entities was 85.3%. Their structure by economic activities shows that 75.8% of them belong to five activity sections in the following order: Wholesale and retail trade; repair of motor vehicles, motorcycles 31.8%; Professional, scientific and technical activities 13.3%; Manufacturing 11.7%; Construction 13.6% and Transportation and storage 5.4%.

 

The share of non-profit active entities was 14.7%. Less than a half of them are classified into the activity section Other service activities, while the remaining half is distributed between Education (12.2%), Human health and social work activities (10.0%) and Public administration and defence; compulsory social security (6.7%).

 

The structure of entities in crafts and trades and free lances by economic activities is much more balanced than the structure of legal entities. Although Wholesale and retail trade; repair of motor vehicles, motorcycles is again the most frequent crafts and free lances activity section , its share is nevertheless slightly lower than a third. Beside trade, four other activities cover two thirds of the total number of entities.

The structure of active legal entities by ownership types shows that the private ownership predominated with 81.8% entities, 0.8% of entities were owned by the state, 1.3% of them were in the mixed ownership and only 1.4% of entities were in co-operative ownership, while the ownership of 14.7% legal entities was not monitored.

 

The ownership structure by activities shows that privately owned entities were predominant in services, e.g. Wholesale and retail trade; repair of motor vehicles, motorcycles had the share of 97.5%, Real estate activities of 98.5% and Transportation and storage of 94.5%. Approximately the same share of private ownership existed in the productive activities such as Construction, 97.4%, Manufacturing, 93.9%, and Agriculture, forestry and fishing, 69.2%.

By examining the structure of active legal entities according to the number of persons in paid employment, it should be noted that the highest share of 44.8% belonged to entities without persons in employment, followed by 42.9% entities employing 1 – 9 persons, 9.2% entities employing
10 – 49 persons, 2.6% medium-sized entities employing 50 – 249 persons, while entities employing more than 250 persons had the share of only 0.5%.

 

It should be noted that, according to economic activities, the structure of medium-sized and large entities was more uniform than that of small entities. The largest part of small entities belonged to the Wholesale and retail trade; repair of motor vehicles, motorcycles. The share of entities in this activity was rapidly decreasing in relation to the size of entities. Medium-sized entities were mostly represented in Manufacturing (the share of 20.9%). Moreover, there were 33.2% of large entities recorded in this activity.

Limited liability companies were markedly predominant in the structure of trade companies by legal organisational forms, with the share of 97.6% of registered and 97.7% of active companies. Joint stock companies followed, with the share of 1.3% of both registered and active companies. Other legal forms of trade companies had the share of the remaining 1.0%.

The structure of registered non-profit legal entities by legal forms shows that associations, institutions, co-operations, funds, etc. had the share of 93.7%, state government bodies and bodies of local and regional self-government units had the share of 5.6% and the remaining 0.7% were not harmonised entities.

 

Considering their activity, there were 33.0% active ones. Their structure by activities shows that they were entities belonging to four activity sections: Other service activities, with as much as 53.8% registered, and out of them only 27.7% active entities, Public administration and defence; compulsory social security, with 6.4% registered, and out of them 34.3% active entities, Human health and social work activities, with the similar share of registered and active entities, and Education, with only 4.4% of registered, but with the largest share of active entities (91.5%).

Data on territorial distribution of business entities at the county level   show that slightly less than one third of the total number of registered business entities were situated in the City of Zagreb. The City of Zagreb, however, had significantly lower share in entities in crafts and free lances (19.5%). The County of Split-Dalmatia followed, with the share of 12.2% of legal entities and 12.1% of natural persons.

 

Other three counties had their share larger than 5% of registered legal entities: the County of Primorje-Gorski Kotar, 8.4%, the County of Istria, 7.7%, and the County of Zagreb, 6.1%. The number of natural persons came in the same order.

 

The territorial structure of active trade companies, enterprises and co-operatives was yet different, as compared to the structure of registered ones. Hence, the City of Zagreb had the share of 34.6% of registered, and 34.0% of active entities, while the share of the second largest county, the County of Split-Dalmatia, was the same in both active and registered entities (11.2%).

Data on changes of registered entities are divided into three groups: creating, deleting and harmonising. They show that the number of creations increased, while the number of deletions and harmonisations stagnated in the respective period.

 

The share of trade companies in the number of newly created entities in the given period was approximately two thirds.

 

 

NOTES ON METHODOLOGY

 

Sources and methods of data collection

 

Based on the Act on the National Classification of Activities (NN, No. 98/94), the Decision on the National Classification of Activities NKD 2007. (NN, Nos. 58/07 and 72/07) and the Regulation on the Classification of Business Entities according to the National Classification of Activities NKD 2007. (NN, No. 80/07), the Central Bureau of Statistics keeps the Register of Business Entities. The Register comprises legal entities, state govermment bodies, and bodies of local and regional self-goverment units as well as parts of these entities, which means that natural persons that are engaged in activities according to regulations are not, for now, included in the Register.

 

By registration, each business entity is assigned a seven-digit registration number, while its constituent parts, beside that number, are assigned also an additional four-digit ordinal number.

 

Moreover, each business entity and its part are assigned an activity code according to the NKD 2007.

 

The NKD 2007. is based on the European classification of economic activities NACE, Rev. 2 – that is obligatory for the EU Member States.

 

Registered business entities are classified according to their prevailing activities in such a way that the subclass of the main activity is defined, according to the NKD 2007. When a business entity is, by a decision on registration with the competent authority or by law, appointed a higher class, the first classification by the NKD 2007. is made upon the proposal of the business entity. Every subsequent classification of the business entity resulting in the change of the main activity is made in the following cases:

1)   upon the request of the business entity and

2)   upon official duty, based on the change of the decision on registration with the competent authory or change in the law, or   based on       statistical survey results, respectively.

The activity of the constituent parts of a business entity is established by the decision on registration with the competent authority or by the law
on establishment of the activity of the business entity they make part of.

 

Registration change and withdrawal of business entities and their constituent parts are daily updated in the Register. The sources for the Register of Business Entities are as follows:

1)   Registers kept by:

      - trade courts

      -  ministries (e.g. the Ministry of Justice,
        
the Ministry of Health and Social Welfare)

      -  offices of state administration in counties
      -  other registration bodies

2)   Laws, decisions and other legal documents published in Narodne novine.

 

Registered entities are structured according to the legal basis as follows:

     trade companies, enterprises, co-operatives and institutions are registered in the Register upon the decision of registration bodies (trade      courts), making 80.90% of registered entities in the Register

-    state government bodies and bodies of local and regional self-government units registered in the Register according to the law, with a      share of 1.16%, and

-    other entities, such as associations, societies and foundations, which are registered in the Register according to specific laws, with a share of 17.94%.


Difficulties in updating of significant proportion of units in the register are the consequence of long-term transition periods during which register bodies were harmonising entities according to the new law regulations. That postponed the procedure of deleting entities which have not submitted the request for harmonisation with the new regulations.

 

A lack in the coverage of the Register is related to legal entities that carry out activities of crafts and free lance.

 

In order to make available data as useful as possible, the Register data were entities linked, using this seven-digit registration number as a key, with administrative databases. In this way, the usefulness of data in this Release was improved.

 

Definitions

 

Business entities are legal entities and natural persons that are engaged in activities according to regulations as well as state government bodies and bodies of local and regional self-government units.

 

Registered legal entities are units that are registered in The Register of Business Entities kept by the Central Bureau of Statistics. These are: trade companies, enterprises, institutions, co-operatives, associations, political parties and other non-harmonised units which held a legal subjectivity status according to previous laws, as well as state government bodies and bodies of local and regional self goverment bodies.

 

Active legal entities are units that are registered in the Register of Business Entities, as listed in the previous definition, for which the active or non-active status was determined upon data from the register of tax payers (annual tax return for 2007) and data from the Fina’s Register of Annual Financial Reports (annual financial report for 2007). In order to update those data, all changes of registered units have been added to matching data (creating, deleting and updating) over the period from January 2008 to March 2009, according to procedures of keeping the Register of Business Entities.

 

Natural persons are units that carry out activities in line with regulations, and those are crafts and trades and different kinds of free lances. Data on these units are given according to the records of active insured persons in the Pension Fund.

 

Main activity is an activity established according to the largest share in the total value added in the case of business entities that make profit through production, trade, or rendering of services on the market or by the largest share in the number of persons in employment according to the payroll and gross paid-off salaries in the case of business entities that do not make profit through production, trade and rendering of services on the market.

 

Registration number is a permanent identification characteristic of each particular business entity that is used in all statistical surveys and is compulsory in the data exchange with courts, state govermment bodies local and regional self-govermment bodies as well as with legal entities with public authorities. It is determined by the allocation of the control number according to module 11.

 

Legal organisational form is the characteristic of registered units determined by law upon which the unit was created (e.g. joint-stock companies, limited liability companies, etc. according to the Company Law).

 

Kind of ownership is the characteristic of units entered into the Register of Business Entities which indicates the ownership structure of the unit.

 

Number of persons in employment is the feature used for indicating the size and structure of business entities. It is derived from the Fina’s annual financial reports. In order to update this feature, as indicated in tables, data have been harmonised with regular monthly statistical survey that covers employment.
